BRIEF DESCRIPTION OF THE GROUP OF THE COMPANY
Advertising Prodigy AD is incorporated at the end of 2007 (05.12.2007)
«Advertising Prodigy” AD economic group formed by its subsidiary ASIKIS N. And SIA O.E. Subsidiary’s company of „Advertising Prodigy” AD is trade company ASIKIS N. & SIA O.E. Issuer possesses 98 % of capital of Trade Company for giving services under the name ASIKIS N. & SIA O.E and distinctive name “Ipsili Akroamatikotita”. Company is established on 06.02.2007 in city of Athens, with act of foundation sighed by partners Nikolaos Asikis and Monica Asikis. Seat and address of division of the company are Vironas, Attica, street “Pringiponison” , number 43. In act of foundations is envisaged that company is with capital of 5,000 Euro deposited on two equal parts by the partners, and profits and losses of the company as well as all goods and properties acquired in activity of the firm are equally distributed between two partners. On 11th August 2008, the partners Nikolaos Asikis and Monika Asikis both transferred 49 percent of their shares (as they possess 50% to 50%) to the issuer. In a result by this transfer the issuer acquired 98% by the ASIKIS N. and SIA O.E. with the distinctive company name Ipsili Akroamatikotita. “Ipsili Akroamatikotita” has subject of activity as follows: Advertising, buy and sale of TV and radio time, as well as mounting of advertising billboards and other kinds of external advertising, production of advertising films and clips, other kind of advertising activity, distribution of advertising leaflets, brochures and samples, market research, advertising by post, organization of competitions for consumer goods, organization of exhibitions, sale of goods to third parties, domestic and foreign trade of foodstuffs, cleaning substances and other, as well as representation.
SUBJECT OF ACTIVITY
The subject of activity, according to the adopted constitution of the company is: advertising, information, marketing and publishing, production of advertising, media and marketing strategies and their implementation, organizing and advertising experience of events and promotions, trade representation, public relations, serving public relations service of relations with customers, management, brokering, production of audio, television, music and video programs and productions, sponsorship, internal and external trade activity, the creation and operation of television channels and radio, ‘and any other activity, where to carry out an activity required permission, making the company take it upon receipt of the permit or license, unless the law allows the commission before.
The issuer will perform services as follow: TV productions and TV commercial productions Music Video Clip productions; Development and preparation of strategic „Below the line” plans and programs; In house execution of “Below the line” implementation plans and programs; “Below the line” concept and tactics development; Design and production of functional and smart constructions; Promotion media support; Post promotion analysis. One of the main activities which “Advertising Prodigy” AD is planning to carry out production of advertising and music video and audio clips. For this purpose, the company plans to acquire a successful production company based in Greece. Essential element of the synergies that are expected to be generated from the acquisition is increasing the effectiveness of capacity utilization of the studio and effective management of copyright material on productions as in Greece and in Bulgaria.
INVESTMENTS
From its establishment until now „Advertising Prodigy” AD has acquired 98% of capital of Greek company “Ipsili Akroamatikotita”. Main activity of Subsidiary’s company is in the field of marketing and advertising. The value of this investment has amounted to BGN 176,000, representing the acquiring value of the Greek company “Ipsili Akroamatikotita”. With this investment the issuer acquired 98% by the company’s capital. The realized investment is in accordance with the issuer’s development and investment strategy. For the purpose of presenting the financial conditions of the subsidiary there are presented summary of balance sheet and income statement of the subsidiary as of the end of 2007, as well as at 31st of August, 2008. For the source of the presented information was used the subsidiary’s reports for the pointed periods. As the reports of the subsidiary are in EUR, the currency was converted in BGN on the base of the fixed exchange rate EUR/BGN (1EUR = 1.95583) for the purposes of comparability.
COMPETITIVE POSITION
The strong presence of Greek companies in Bulgaria is a serious competitive advantage for “Advertising Prodigy” AD. An important part of the issuer’s business strategy is developing partnerships with Greek companies, operating in Bulgaria and Bulgarian companies owned or affiliate of Greek companies. The company plans to get a significant experience of its founders in the creation and management of successful marketing campaigns of major international corporations operating in various sectors: food industry, telecommunications, chemical industry, machine building and others.
